AQUASAFETY INVEST PLC- AMENDED TRUST DEED AND NEW SECURITIES AGREEMENT

The
Trust Deed between the Issuer and the Trustee, Bank of New York Mellon, has been
amended to provide that the Issuer’s outstanding shares are pledged to the
Trustee as financial collateral for payments on the Notes. In connection with
the amended Trust Deed, a Securities Agreement has been signed between the
Issuer’s Sole Shareholder and the Trustee. The Trustee is taking an equitable
charge over the Issuer’s shares, and all the voting rights in regard to such
shares can only be exercised by the Sole Shareholder of the Issuer upon the
Trustee’s approval. The changes made effectively transfer control over the
Issuer to the independent third party – the Trustee.
