MOODY’S GROUP UK

Effective June 3,
2010, Stuart Martin Hughes has been appointed as a director of Moody’s Group UK
Limited.
Mr. Hughes is Senior Vice President and Financial Controller for the
international activities of Moody’s Corporation. His responsibilities include oversight
of international financial reporting and controls, Sarbanes-Oxley compliance,
completion of audit engagements and managing Moody’s international financial
operational processes.
Mr. Hughes joined Moody’s in January 2005 as Vice President and was
promoted to Senior Vice President in July 2008.
Prior to joining Moody’s, he was Vice President and Controller for
Bank One’s European activities from May 1996 to December 2004, concluding with
the integration of Bank One’s operations with J.P. Morgan, following the merger
of the two institutions.
Previously, he was an Associate Director and Head of Financial
Regulation and Tax at Yamaichi Securities (now absorbed into Merrill Lynch) from
1994 to May 1996. Mr. Hughes
served in a number of UK Finance positions with Bank of America between 1988 and
1993, including Compliance, Tax and Regulatory reporting. He was an Assistant Manager with
PricewaterhouseCoopers in their Financial Services Audit Group from 1983 to
1988.
Mr. Hughes is both a UK Chartered Accountant (FCA) and a UK Chartered
Tax Advisor (CTA). He
